VOX Interactif and https://voxinteractif.com/ (hereinafter “VOX Web Site“), are operated by VOX Interactif Inc (hereinafter “VOX“). These Terms and Conditions of Service (hereinafter “Terms and Conditions“) are applicable to your access to the VOX Web Site, and to your use of the services offered by VOX. By using any of the services or products provided or serviced by VOX, either directly or through a reseller, you acknowledge that you have read, understood, and agree to be bound by our Terms and Conditions.

1. Terms and Conditions

You must read and accept the present Terms and Conditions, Privacy Policy and Cookie Policy before using the VOX Web Site or any VOX services. By accessing and continuing to use VOX services, you confirm your agreement to be subject to the Terms and Conditions. If you do not agree to these Terms and Conditions, please do not access any of VOX's services or use VOX Web Site.

VOX may need to modify these Terms and Conditions from time to time to adapt to changing technologies, laws, and/or regulations. VOX may provide the Client with a prior written notice if the changes significantly impact the Client’s services, but VOX will do this solely at its discretion and is in no way obligated to provide notice. Any changes to the Terms and Conditions shall enter into force within thirty (30) days of their publication on the VOX Web Site.

 

2. Creation, Responsibility, Modification, and Cancellation of Client Accounts for website development and hosting services.

2.1. Creation of Client Accounts

When you sign the service agreement, the VOX administrative team registers you as a client on various platforms (billing, CRM, project management). Once the website development phase starts, a hosting account is created on our servers in Canada, where the website is installed. Once the website is complete and training is provided to the website administrators, administrator accounts are also created so that you or your employees can take control of the website and modify its content. These accounts are created at the website CMS (content management system) level.

2.2. Accurate Information

You agree to keep your contact information up to date with us and to notify us within 10 days of any changes (move, email address change, etc.).

You agree that VOX may use and rely on the information you provide to deliver its services in accordance with the Privacy Policy. Should you provide any inaccurate, misleading or incomplete information, or if VOX has reasonable grounds to suspect that your information is inaccurate, misleading or incomplete, VOX has the right, in its sole discretion, to suspend or terminate its services and/or close your account.

2.3. Maintenance and Security of the Client's websites

You agree to use your website only for legal purposes and accept full responsibility for the content and data on your website.

You accept full responsibility for maintaining the confidentiality of your and your team’s login information, including your username and password, for accessing your website's content manager. You accept full responsibility for any activity by the administrators of your site. You agree to notify VOX immediately of any unauthorized use of your website or any suspicious activity. You acknowledge that VOX is not liable for any losses you might experience due to an administrator user's actions on your site, regardless of your awareness of such activities. You also agree that you could be held liable for losses incurred by VOX or another party due to someone else's use of your administrator access. VOX encourages you to keep your website or CMS login information in a secure place and to take precautions to prevent others from accessing or using it. Furthermore, VOX encourages you not to share login information with others; each user should have their own login access.

2.4. Content responsibility

You agree that you are solely responsible for the content stored on and served on your websites. You further agree that you are responsible for all activity of your website’s administrator accounts, whether initiated by you, by others on your behalf, or by any other means. VOX disclaims liability for any activity on your website and CMS, whether authorized by you or not.

2.5. Account Suspension and Cancellation

VOX may suspend or terminate, without prior notice, any website that does not comply with these Terms and Services to maintain a safe and secure environment for our clients.

VOX will attempt to notify you of any suspensions or cancellations. In some circumstances, VOX may suspend a website without warning to avoid severe harm or service degradation.

You may cancel your website’s hosting account and its automatic renewal by requesting cancellation at least 15 days before your service’s expiry date. The cancellation request must include all details needed for a VOX employee to properly identify your account, including your company's full name and the complete URL of your website. The request should also be made by an authorized contact listed in your account.

2.6. Responsibility for Personal Data and Privacy

The Client alone bears responsibility for any personal data collected, transmitted, or stored on its website, including information entered by users through online forms.

Mandatory Privacy Policy. Any website collecting personal data, including, but not limited to, names, email addresses, financial information, or any other information that identifies an individual, must be accompanied by a privacy policy that complies with applicable laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and any relevant provincial legislation. It is the Client’s responsibility to draft, maintain, and display such a policy, and to ensure that data is collected and processed in a legal and ethical manner.

Responsibility for Sensitive Data. The Client acknowledges that collecting sensitive data, such as financial information, salaries, medical data, or other confidential information, entails increased responsibility. The Client agrees to assess whether storing such data in a web environment is appropriate and to obtain necessary legal and technical advice before proceeding.

Inherent Limitations of Web Security. Although VOX implements recognized security measures at the server and CMS levels, no system connected to the Internet can guarantee absolute protection against all intrusions or data breaches. Risks include, but are not limited to, phishing or theft of a member of the Client's team's credentials, unauthorized access by a third party, or human error. The Client assumes full responsibility for the consequences arising from such situations, and VOX cannot be held liable for any losses, damages, or harm resulting from a data breach in the Client's environment.

Recommendations. VOX strongly encourages any Client planning to collect sensitive data to consult with a cybersecurity and privacy law professional, to limit data collection to what is strictly necessary (the principle of minimization), and to prioritize specialized and certified solutions when the nature of the data requires them.

 

3. Privacy Policy

VOX is committed to your privacy, and does not sell, trade or give out your personal information unless required as part of your service contract or by law. For our complete privacy policy:

4. Search Engine Listing

VOX is not directly associated to any search engines and is not responsible for your website's search engine rankings. However, VOX provides certain Search Engine Optimization services that could help improve your rankings with specific search engines. VOX cannot ensure any particular results beyond what is stated or guaranteed on the VOX Website or in your service agreement.

 

5. CMS updates and security

The client's hosting packages include basic updates to the content management system but do not include major upgrades, such as moving from one version to another (for example, from version 4.0 to 5.0). Major upgrades will be carried out under a separate contract, with the client's agreement. The client will be notified when a major upgrade is needed for their website, and an estimated cost will be sent for approval before work begins. When a new version of the CMS becomes available, VOX will promptly notify the client and plan the upgrade.

Our servers are specifically configured to provide enhanced security for your website, including multiple layers of protection against cyberattacks at both the CMS and server levels.

 

6. Backups

Our hosting service includes daily backups available for the previous 15 business days.

To minimize the impact on site performance, backups are performed at night when server traffic is low. The client can request a backup copy at any time. Only individuals identified in the account will be authorized to receive such documents.

 

7. Technical support

Our technical support team is available in English and in French via phone, video call, or email during regular business hours from 8:30 a.m. to 5:00 p.m. Atlantic Time. The technical support team will also take into account urgent requests via email outside of working hours and will respond within a reasonable timeframe, depending on the level of urgency.

 

8. Service Renewals and Cancellations

Under the website development service agreement, the hosting service is automatically renewed each year. Renewal invoices for web hosting services are automatically generated by VOX at least 15 days before the service expiration date. A copy will be emailed to the address on file when we generate a new invoice.

All unpaid services after the due date may be suspended and permanently terminated at VOX's sole discretion. Reactivation fees may apply if you wish to reactivate your services after suspension.

You must maintain a valid email address on file with us to receive important information about your hosting account, including invoices and notices.

To cancel the web hosting service, the client must notify us by email at least 1 month before the renewal date to avoid cancellation fees.

 

9. Payments

VOX accepts payments by: credit card (via Stripe), check, Interac e-transfer, and bank transfers.

All payments must be made in Canadian dollars unless stated otherwise. The payment terms are specified in the service agreement signed by the client. Any overdue invoice will accrue interest at 2%, compounded monthly (corresponding to a yearly interest rate of 26.86%). Chargebacks or bounced checks due to insufficient funds will incur additional fees of C$50.00, plus taxes.

 

10. Force Majeure

VOX will make every effort to keep its website and services operational. However, certain technical difficulties and other factors outside of its control may sometimes result in temporary service interruptions. You agree not to hold VOX liable for any of the consequences of such interruptions.

 

11. Trademarks and Copyrights

VOX Interactif, VOX Interactif Inc, voxinteractif.com, and the logos associated with these names are trademarks owned by VOX. Using these trademarks is strictly prohibited without VOX's prior written consent. In addition, all names and trademarks of third parties appearing on the VOX Website are the property of their respective owners and may be used only with their consent.

The VOX Website and its contents, including text, images and the selection and arrangement of its data, are protected by copyright.

You can view and download the information contained on the VOX Website for your personal use and not for commercial purposes. Any other use, modification or copying of the Site, in whole or in part, without VOX’s prior written consent is prohibited.

15. Applicable Law and Jurisdiction

This Agreement and its interpretation are subject to the laws of the province of New Brunswick and the laws of Canada applicable therein, without giving effect to any principles of conflicts of laws.

We strictly prohibit any form of verbal abuse, whether directed at or from our team members and clients. This includes, but is not limited to, offensive, threatening, or discriminatory language, profanity, personal attacks, intimidation, or any form of harassment.
